Printer-friendly versionPrinter-friendly version
A confidentiality agreement (also known as a nondisclosure agreement or NDA) protects one party's confidential information against disclosure and unauthorized use by the other party (or parties). This particular confidentiality agreement is a simple, mutual agreement. It is intended to be applied to business discussions between small businesses during which both parties expect to disclose confidential information.

This agreement template is simple and does not cover many important issues that may need to be addressed in certain circumstances. Review the guidelines for an overview of

  • general considerations for confidentiality agreements, and
  • factors for you to consider in deciding whether this template is suitable for your needs.
